Use the site lawfully. Do not interfere with its operation, attempt unauthorized access, or submit content that you do not have permission to share. You are responsible for the accuracy of information you provide when requesting services.

Projects and payments

Project scope, pricing, timelines, payment terms, and deliverables are set out in the plan and price shown at checkout, the applicable invoice, or a separate agreement. Submitting an inquiry or chatting with an AI feature does not create a project agreement or guarantee availability. Review the plan and price before accepting or paying.

AI features

AI-generated answers can be inaccurate or incomplete. Confirm important details directly with Ops Quotient before relying on them. A chat response does not confirm an appointment, purchase, or project change.

Governing law and venue

These terms, and any dispute arising out of or relating to them, the site, or the services, are governed by the laws of the State of Idaho, without regard to its conflict-of-law rules. Subject to the arbitration agreement below, the state and federal courts located in Ada County, Idaho (Boise) have exclusive jurisdiction and venue, and you consent to the personal jurisdiction and venue of those courts.

Dispute resolution and binding arbitration

Please read this section carefully. It affects your legal rights, including your right to go to court.

Informal resolution first. Before starting an arbitration or court action, the party raising a dispute must send the other a written notice describing the dispute and the relief requested. Send notices to us at Contact@MicahFord.com; we will send notices to the email address on your account. Both parties will try in good faith to resolve the dispute informally for 30 days after the notice is received.

Agreement to arbitrate. If the dispute is not resolved within those 30 days, you and Ops Quotient agree that any dispute, claim, or controversy arising out of or relating to these terms, the site, or the services will be resolved by binding arbitration on an individual basis, and not in court before a judge or jury. The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, or its Commercial Arbitration Rules where the consumer rules do not apply, in effect when the demand is filed. The arbitration will be seated in Boise, Ada County, Idaho, will be decided by a single arbitrator applying Idaho law, and is governed by the Federal Arbitration Act. Hearings may be held by video or phone where the AAA rules allow. Judgment on the award may be entered in any court with jurisdiction. Each party bears its own attorney fees and costs unless the AAA rules or applicable law require otherwise.

Class action waiver. You and Ops Quotient may bring claims against each other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate claims or preside over any class, collective, or representative proceeding. If this waiver is found unenforceable as to a claim, that claim must be heard in the courts described above, and the rest of this section still applies.

Exceptions. Either party may bring an individual claim in small-claims court in Ada County, Idaho if the claim qualifies. Either party may ask a court for injunctive relief to stop the unauthorized use or infringement of its intellectual property.

Severability. If any part of this section other than the class action waiver is found unenforceable, the rest remains in effect.
